The following terms shall have the meanings set forth below:

1.1. “Affiliate” shall mean any entity that is a holding company of a Party, a subsidiary of a Party or a subsidiary of a holding company of a Party, an entity in which any of the above has a controlling interest or an entity which has a controlling interest in any of the above.
